SpotGoTo Terms of Service

Effective date: September 21, 2026

These Terms form a binding agreement between you and IMKOR LLC (“SpotGoTo,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and Accounts

You must be at least 13 years old. If you are under the age of legal majority where you live, a parent or legal guardian must authorize your use. Provide accurate information, protect your credentials, and promptly notify support@spotgoto.com of suspected unauthorized access.

2. The Service

SpotGoTo helps users save and share places, discover nearby businesses, communicate, plan gatherings, and interact with participating businesses. Features may change or be discontinued. Some features may work locally without an account; sharing, synchronization, or business features may require one.

SpotGoTo is a technology platform, not the owner or operator of listed businesses and not a party to transactions between users and businesses. In the current release, payments are handled directly by the business. Business information, availability, prices, menus, translations, directions, and third-party place data may be incomplete or inaccurate; verify material details directly with the business.

3. User Content and Conduct

You retain ownership of content you submit. You grant SpotGoTo a worldwide, nonexclusive, royalty-free license to host, store, reproduce, adapt, translate, display, and distribute that content solely to operate, secure, improve, and promote the Service according to your sharing settings. You represent that you have the necessary rights and permissions.

Do not use the Service unlawfully; impersonate others; submit false business claims; infringe rights; harass or threaten; distribute malware or spam; scrape or reverse engineer except where law permits; evade security controls; or upload sensitive information you are not authorized to share. We may remove content, restrict features, suspend accounts, preserve evidence, or report conduct when reasonably necessary.

4. Business Users

A business registrant must be authorized to act for the business and keep listings, pricing, hours, fulfillment details, and customer responses accurate. Claim verification does not guarantee business quality, identity, licensing, or performance. Businesses are responsible for their products, services, taxes, refunds, consumer-law duties, and customer disputes.

5. Intellectual Property; Third-Party Services

SpotGoTo software, branding, and original content are owned by IMKOR LLC or its licensors. The Service may use Supabase, Google Maps/Places, Apple Maps, Expo, and other third-party services governed by their own terms. Their availability is not guaranteed.

6. Disclaimers and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. SPOTGOTO DOES NOT GUARANTEE ANY BUSINESS, USER, TRANSACTION, MEETING, ROUTE, TRANSLATION, OR USER CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMKOR LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, PERSONAL INJURY CAUSED BY THIRD PARTIES, OR BUSINESS INTERRUPTION. TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID SPOTGOTO IN THE 12 MONTHS BEFORE THE EVENT. Some jurisdictions do not allow certain limitations, so applicable statutory rights remain.

7. Indemnification; Suspension; Termination

To the extent permitted by law, you will defend and indemnify IMKOR LLC from third-party claims arising from your unlawful use, your content, or your violation of these Terms. We may suspend or terminate access for violations, security risk, legal requirements, or Service discontinuation. You may stop using the Service and request account deletion at any time. Provisions that by nature should survive will survive.

8. Required Informal Resolution — 42 Days

Before either party starts arbitration, the claimant must send an individualized written Notice of Dispute to support@spotgoto.com containing the claimant’s name, account email, contact information, facts, requested relief, and signature. The parties will attempt in good faith to resolve the dispute for 42 calendar days after receipt. Limitations periods are tolled during this period to the extent permitted by law. Arbitration may begin only after this process is completed.

9. Binding Individual Arbitration; Jury and Class Waiver

Except for the limited exceptions below, every dispute arising from or relating to the Service, these Terms, or the parties’ relationship that is not resolved during the 42-day period will be resolved by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs this section. The arbitrator may award any individual remedy available in court and a court with jurisdiction may enter judgment on the award.

YOU AND IMKOR LLC WAIVE TRIAL BY JURY. CLAIMS MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF, CLASS MEMBER, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not combine claims without all parties’ written consent.

Either party may bring an individual claim in a small-claims court if it remains within that court’s jurisdiction. Either party may seek temporary or emergency injunctive relief in court to prevent imminent misuse, security harm, or infringement while arbitration is pending. If applicable law prohibits arbitration of a particular claim or remedy, only that claim or remedy may proceed in court and all arbitrable matters remain in arbitration.

AAA filing and fee rules apply, subject to consumer-law protections. If AAA is unavailable, the parties will select a comparable provider or a court may appoint one. If the class waiver is finally held unenforceable as to a particular claim, that claim will proceed in court after arbitrable claims are completed.

10. Governing Law and General Terms

Pennsylvania law applies without regard to conflict-of-law rules, except that the Federal Arbitration Act governs arbitration and mandatory consumer protections remain applicable. For disputes permitted in court, the parties consent to state or federal courts located in Pennsylvania. These Terms, the Privacy Policy, and incorporated policies are the entire agreement. If one provision is invalid, the rest remains effective. We may update the Terms with notice required by law; continued use after the effective date constitutes acceptance.
